1. Introduction & Definitions
These Terms and Conditions ("Terms") govern the relationship between Soulaimane DAHBI ("the Provider," "I," "me," or "my"), operating as an independent ADS and advertisement consultant, and any individual or business entity ("the Client," "you," or "your") who engages my services.

Throughout these Terms, the following definitions apply:
- "ADS" refers to any paid digital advertising campaigns managed on behalf of the Client, including but not limited to Google Ads, Facebook Ads, Instagram Ads, TikTok Ads, LinkedIn Ads, and programmatic display advertising.
- "Advertisement Services" refers to the full scope of work provided, including ads strategy, campaign creation, management, optimisation, analytics, reporting, and consulting.
- "Ad Spend" refers to the budget allocated directly to advertising platforms for the purpose of running ads, which is separate from management fees.
- "Agreement" refers to the combination of these Terms, any written proposal, and any additional documentation agreed upon between the Provider and the Client.
By engaging my advertisement services, you confirm that you have read, understood, and agreed to these Terms in full. If you do not agree, please do not proceed with any engagement.
2. ADS & Advertisement Services
I offer a range of professional ADS management and advertisement services designed to help businesses grow through targeted, data-driven digital campaigns. A detailed overview of available services can be found on the Services page.
The specific scope of work for each engagement will be outlined in a written proposal or service agreement provided before the commencement of any ads campaign. This proposal will include details such as the platforms to be used, campaign objectives, estimated timelines, deliverables, and pricing.
2.1 Scope Inclusions
Unless stated otherwise in the proposal, my advertisement services typically include: initial research and competitor analysis, campaign strategy development, ad copywriting and creative direction, campaign setup and launch, ongoing ads optimisation, conversion tracking configuration, and weekly performance reporting.
2.2 Scope Exclusions
The following are not included as part of the standard advertisement management package unless explicitly agreed upon in writing: ad spend budget (paid directly by the Client to the advertising platform), website development or redesign, search engine optimisation (SEO) beyond ads landing pages, graphic design or video production, and third-party software subscriptions or tools.
3. Client Responsibilities
To ensure the successful delivery of advertisement campaigns, the Client agrees to the following responsibilities:
- Provide timely access to all necessary advertising platform accounts (Google Ads, Meta Business Suite, etc.) and grant appropriate permissions for ads campaign management.
- Supply all required brand assets, including logos, brand guidelines, product information, and approved messaging, in a timely manner.
- Respond to requests for feedback, approvals, and strategic input within a reasonable timeframe — ideally within 48 hours — to prevent delays to advertisement campaign timelines.
- Ensure that all products, services, and advertising claims comply with applicable laws, regulations, and the advertising policies of the relevant ads platforms.
- Maintain an adequate and agreed-upon ad spend budget throughout the duration of the engagement to allow for effective ads optimisation and campaign delivery.
Important: Delays caused by the Client in providing access, approvals, or required materials may impact advertisement campaign performance and timelines. The Provider shall not be held responsible for any resulting delays or underperformance.
4. Fees & Payment Terms
All fees for ADS management and advertisement services will be clearly outlined in the written proposal provided to the Client prior to the commencement of any work.
4.1 Management Fees
Management fees cover the professional time and expertise required to plan, execute, and optimise your ads campaigns. These fees are separate from and additional to any ad spend budget. Management fees may be structured as a fixed monthly retainer, a percentage of ad spend, or a project-based fee — as agreed upon in the proposal.
4.2 Ad Spend
The Client is solely responsible for funding all advertisement spend directly with the relevant advertising platforms (e.g., Google, Meta, LinkedIn). Ad spend is not included in my management fees and is paid by the Client directly to the platform. I do not handle, collect, or process ad spend funds on behalf of the Client.
4.3 Payment Schedule
Invoices are issued at the beginning of each monthly billing cycle and are due within seven (7) calendar days of the invoice date. Accepted payment methods will be communicated at the start of the engagement. Late payments may result in the suspension of active ads campaigns until the outstanding balance is settled.
4.4 Late Payment
If payment is not received within fourteen (14) days of the due date, I reserve the right to pause all active advertisement campaigns and suspend further work until payment is received. A late payment fee of 5% of the outstanding invoice amount may be applied for each additional 14-day period the balance remains unpaid.
5. Advertisement Campaign Management
5.1 Performance & Results
Whilst I apply industry best practices, advanced optimisation techniques, and data-driven strategies to every ads campaign, I do not guarantee specific results, rankings, conversion volumes, or revenue outcomes. Advertisement performance is influenced by numerous factors beyond my control, including market conditions, competitor activity, platform algorithm changes, product quality, pricing, and seasonal trends.
5.2 Reporting
The Client will receive regular performance reports — typically on a weekly basis — detailing key ads metrics such as impressions, clicks, click-through rate, conversions, cost per conversion, return on ad spend, and other relevant data points. Reports are provided for transparency and to inform ongoing advertisement strategy decisions.
5.3 Optimisation
I will continuously monitor and optimise active ads campaigns based on performance data. This may include adjustments to targeting, bidding strategies, ad creative, audience segmentation, and budget allocation. The Client will be consulted on significant strategic changes, but routine optimisations will be carried out at my professional discretion to ensure the best possible advertisement results.
5.4 Platform Policies
All advertisement campaigns must comply with the policies and guidelines of the respective advertising platforms. If an ad or campaign is disapproved or an account is suspended by a platform due to policy violations related to the Client's products, services, or content, the Provider shall not be held liable. I will, however, assist in the appeals process where possible.
6. Intellectual Property
Any original ad copy, campaign structures, audience strategies, or creative concepts developed by me during the course of providing advertisement services shall remain my intellectual property until full payment has been received for the relevant engagement period.
Upon receipt of full payment, the Client is granted a non-exclusive, royalty-free licence to use the deliverables for their own business purposes. This licence does not extend to reselling, sublicensing, or redistributing the materials to third parties without prior written consent.
Pre-existing intellectual property, proprietary frameworks, methodologies, and tools that I use in the delivery of ads services remain my exclusive property and are not transferred to the Client under any circumstances.
7. Confidentiality & Data Protection
Both parties agree to treat all confidential information shared during the course of the engagement with the utmost discretion. Confidential information includes, but is not limited to, business strategies, financial data, customer lists, advertising performance data, trade secrets, and proprietary processes.
I am committed to handling all personal data in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable. Any personal data collected, processed, or stored in connection with advertisement services will be used solely for the purpose of delivering the agreed-upon ads services and will not be shared with third parties without the Client's explicit consent, except where required by law.

8. Limitation of Liability
To the fullest extent permitted by law, Soulaimane DAHBI shall not be held liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the provision of ADS management or advertisement services, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption.
My total liability for any claim arising from the services provided shall be limited to the total fees paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.
I shall not be liable for any losses resulting from: changes to advertising platform policies or algorithms, account suspensions initiated by advertising platforms, force majeure events, or actions taken by the Client that contradict professional advice provided during the engagement.
9. Cancellation & Refund Policy
9.1 Cancellation by the Client
The Client may cancel the engagement at any time by providing at least fourteen (14) calendar days' written notice via WhatsApp or email. There are no long-term lock-in contracts. I operate on flexible month-to-month agreements, and you are free to adjust or end your ads management package at any time.
9.2 Cancellation by the Provider
I reserve the right to terminate the engagement with fourteen (14) calendar days' notice if the Client repeatedly fails to meet their responsibilities as outlined in Section 3, if payments remain outstanding for more than thirty (30) days, or if the Client's advertisement content is found to violate applicable laws or platform policies.
9.3 Refunds
Management fees are charged for professional time and expertise already committed. Fees for the current billing period at the time of cancellation are non-refundable. Any prepaid fees for future periods not yet commenced will be refunded in full within fourteen (14) business days of the cancellation date. Ad spend paid directly to advertising platforms is governed by the respective platform's refund policies and is outside the scope of this agreement.
Flexible Commitment: I recommend a minimum engagement of three (3) months to allow your advertisement campaigns sufficient time for data collection, optimisation, and meaningful results — but this is a recommendation, not a requirement. You are never locked in.
10. Amendments & Governing Law
10.1 Amendments
I reserve the right to update or amend these Terms and Conditions at any time. Any material changes will be communicated to active Clients via WhatsApp or email, and the updated Terms will be published on this page with a revised "Last Updated" date. Continued engagement with my ads and advertisement services following the notification of changes constitutes acceptance of the amended Terms.
10.2 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Michigan, United States. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Michigan.
10.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
10.4 Entire Agreement
These Terms, together with any written proposal or service agreement, constitute the entire agreement between the Provider and the Client regarding the subject matter hereof. They supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
